Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Metlivi website, mobile applications, pre-release builds, beta programs, subscriptions, community channels, AI companion features, and related services operated by METLIVI PTE. LTD.("Metlivi," "we," "us," or "our") (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if:

  • you are at least 13 years old;
  • you are legally capable of entering into a binding agreement; and
  • if you are under 18, you have the involvement or permission of a parent or legal guardian to the extent required by law.

If the law in your jurisdiction requires a higher minimum age, that higher age requirement applies to you.

2. Additional Terms

Additional terms, platform rules, community standards, event rules, or feature-specific policies may apply to certain parts of the Service. If there is a conflict between these Terms and a supplemental policy for a specific feature, the supplemental policy will control for that feature to the extent of the conflict. Our Privacy Policy is incorporated into these Terms by reference.

3. Accounts and Registration

Some parts of the Service may require you to register, apply for beta access, join a waitlist, create an account, or provide contact information. You agree that the information you provide will be true, accurate, current, and complete, and that you will keep it reasonably up to date.

You are responsible for activity that occurs through your account or access credentials. You must maintain the confidentiality of your login details, access links, devices, and verification methods, and notify us promptly if you believe they have been lost, stolen, or compromised.

We may refuse registration, reject beta applications, reclaim usernames, or limit account access where reasonably necessary for operational, safety, legal, or business reasons.

4. Beta, Early Access, and Pre-Release Services

The Service may include alpha, beta, test, preview, or other pre-release features. You acknowledge and agree that these features may be incomplete, unstable, or experimental, may contain bugs or downtime, may change materially or be discontinued without notice, and may result in lost progress, reset content, removed features, or interrupted access.

We are not obligated to continue, release, support, or convert any beta feature into a final product. Your participation in a beta does not create any expectation of future access, compensation, or feature continuity.

5. Acceptable Use

You agree not to, and not to assist or encourage others to:

  • violate any applicable law, regulation, court order, or third-party right;
  • harass, threaten, abuse, exploit, defame, stalk, or endanger any person;
  • post, submit, or transmit unlawful, infringing, hateful, sexually exploitative, deceptive, or otherwise harmful content;
  • exploit, endanger, or attempt to contact minors inappropriately;
  • impersonate another person or misrepresent your affiliation with any person or entity;
  • interfere with the operation, security, or integrity of the Service;
  • bypass rate limits, access controls, safety systems, or content restrictions;
  • use bots, scrapers, crawlers, automation, or unauthorized scripts except as expressly allowed by us;
  • reverse engineer, decompile, disassemble, or attempt to discover source code or underlying models except where law prevents such restrictions;
  • introduce malware, spyware, viruses, or other harmful code;
  • use the Service to send spam, phishing messages, scams, or unauthorized commercial solicitations;
  • collect or harvest personal data about other users without authorization;
  • use the Service in a way that could damage, disable, overburden, or impair the Service or another user's experience.

We may investigate suspected violations and take any lawful action we consider appropriate, including removing content, suspending access, terminating accounts, preserving evidence, or reporting conduct to third parties or authorities.

6. Community Conduct

If the Service includes community, social, multiplayer, messaging, or creator features, you agree to participate respectfully and safely. Without limiting Section 5, you must not bully, shame, dox, or target another user, share another person's private information without permission, solicit passwords or payment information, engage in fraud or account trading, or use community spaces to distribute illegal or harmful content.

We may moderate, remove, review, or restrict community content or participation at our discretion for safety, legal, platform, or reputational reasons.

7. AI Features and Generated Output

If the Service includes AI-driven features, chatbots, companions, recommendations, or generated output:

  • outputs may be inaccurate, incomplete, biased, out of date, or inappropriate;
  • generated output is provided for entertainment, informational, or expressive purposes only unless we expressly state otherwise;
  • you remain responsible for how you use, share, or rely on outputs;
  • you must not use the Service or its outputs for medical, mental-health, legal, financial, employment, housing, credit, insurance, or other high-risk decisions;
  • you must not use the Service to generate harmful, unlawful, infringing, deceptive, or abusive content;
  • you must not attempt to extract prompts, safety rules, hidden system instructions, or confidential model behavior without authorization.

We may use third-party AI model or infrastructure providers to power parts of the Service. We may also filter, review, delay, restrict, or block prompts or outputs for safety, abuse prevention, quality control, or legal reasons.

8. Wellness and Emergency Disclaimer

Metlivi may include themes of companionship, mood reflection, rituals, emotional support, or self-awareness. The Service is not a medical service, mental-health service, therapy service, crisis service, or emergency response service.

The Service does not provide medical diagnosis, psychiatric advice, treatment, counseling, or emergency intervention. Do not rely on the Service as a substitute for licensed professional care. If you believe you may harm yourself or others, or if you are experiencing a medical or mental-health emergency, contact local emergency services or a qualified professional immediately.

9. User Content and Feedback

You may be able to submit content to the Service, including messages, profile information, prompts, screenshots, gameplay feedback, comments, media, or other materials ("User Content"). You retain ownership of your User Content, but you grant Metlivi a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, perform, display, and otherwise use your User Content as necessary to operate, improve, secure, promote, moderate, and provide the Service.

If you submit suggestions, concepts, bug reports, comments, or other feedback regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without restriction, notice, or compensation.

10. Intellectual Property

The Service, including its software, designs, branding, logos, text, graphics, audio, video, characters, game systems, interfaces, and underlying technology, is owned by or licensed to Metlivi and is protected by intellectual property and other laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.

11. Paid Features, Virtual Goods, and Subscriptions

If the Service offers paid features, subscriptions, in-app purchases, virtual currency, digital items, or similar benefits:

  • pricing, billing terms, and feature details will be disclosed at the point of purchase;
  • payments may be processed by third-party app stores or payment processors, and their terms may also apply;
  • virtual items and digital benefits are licensed, not sold, unless mandatory law says otherwise;
  • virtual items generally have no cash value, are not redeemable for money, and are not property except where required by law;
  • we may modify, rebalance, remove, or discontinue virtual items or paid features at any time, subject to applicable law;
  • all purchases are final except where refunds are required by law or by the relevant payment platform's policy.

If you purchase a recurring subscription, it may automatically renew at the billing interval disclosed at checkout unless you cancel it in accordance with the applicable platform or payment flow. Trial terms, renewal timing, pricing, taxes, cancellation mechanics, and refund rights will be presented at the point of purchase or by the relevant app store or payment processor.

12. Third-Party Services

The Service may link to or interoperate with third-party services, including Discord, WhatsApp, X, YouTube, Instagram, app stores, analytics tools, payment processors, or external websites. We do not control third-party services and are not responsible for their availability, policies, conduct, security, or content.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, if you violate these Terms or applicable law, your conduct creates legal, security, operational, or reputational risk, we suspect fraud, abuse, or unauthorized access, a third-party platform requires us to do so, or we discontinue the relevant part of the Service.

On termination, your right to use the Service ends immediately. We may delete or disable access to associated content or data, subject to applicable law and our operational needs.

14. Disclaimers

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis. We disclaim all warranties and representations, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, quiet enjoyment, accuracy, and freedom from harmful components.

Without limiting the above, we do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, that content or outputs will be accurate or suitable for your needs, or that data will never be lost, delayed, corrupted, or inaccessible.

15. Limitation of Liability

To the fullest extent permitted by law, Metlivi and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenues, business, goodwill, data, use, or other intangible losses, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us, if any, for the Service in the twelve months before the event giving rise to the claim, or SGD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Metlivi and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable legal fees arising out of or related to your use of the Service, your User Content, your breach of these Terms, or your violation of applicable law or third-party rights.

17. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be governed by the laws of Singapore, without regard to conflict-of-law rules. Subject to applicable law, the courts of Singapore will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

If mandatory consumer protection law in your country of residence gives you rights that cannot be waived by contract, those rights remain unaffected.

18. Changes to the Service and These Terms

We may modify, suspend, discontinue, or update all or part of the Service at any time. We may also update these Terms from time to time. When we do, we will post the revised Terms and update the effective date above. If changes are material, we may provide additional notice where appropriate.

19. Miscellaneous

These Terms constitute the entire agreement between you and Metlivi regarding the Service, except for any supplemental terms that apply to a specific feature. If any provision of these Terms is held unlawful, unenforceable, or invalid, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms as part of a merger, acquisition, restructuring, or sale of assets.
